Developer: DEW Eagle Mountain, LLC. These Terms govern your use of our website and professional services.

2. Services Offered

DEW Eagle Mountain provides computer systems design, IT integration, cybersecurity, software engineering, data analytics, and technical consulting services. Each engagement is governed by a written service agreement specifying scope, deliverables, timeline, and fees. In case of conflict, the service agreement prevails for that specific engagement.

3. Acceptable Use

You agree to use our website lawfully. Prohibited conduct includes transmitting harmful or illegal content, attempting unauthorized access, introducing malware, data scraping, disrupting services, and impersonation. We may monitor usage and suspend access for violations.

4. Intellectual Property Rights

4.1 Website Content

All content on www.deweagle.autos including text, graphics, logos, icons, and code is owned by DEW Eagle Mountain or its licensors and is protected by applicable intellectual property laws.

4.2 Deliverables

Upon full payment, ownership of specific deliverables transfers to the client per the service agreement. DEW Eagle Mountain retains rights to generalized knowledge, methodologies, and tools developed during service delivery.

4.3 Limited License

You receive a limited, non-exclusive, non-transferable license to view website content for personal or internal business purposes. Reproduction or distribution requires prior written consent.

5. Confidentiality

DEW Eagle Mountain maintains strict confidentiality of client information including business strategies, technical specifications, proprietary systems, and financial data. Such information is used solely for contracted services and not disclosed without client consent except as required by law. These obligations survive termination of any agreement.

6. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEW EAGLE MOUNTAIN SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS, WHICHEVER IS LESS.

8. Indemnification

You agree to indemnify DEW Eagle Mountain from claims arising from your violation of these terms, applicable law, or third-party rights. We may assume defense of any such claim.

9. Governing Law and Disputes

9.1 Governing Law

These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.

9.2 Dispute Resolution

Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration in Washington County, Utah, in accordance with American Arbitration Association rules.

9.3 Jurisdiction

The parties submit to the courts in Washington County, Utah for enforcement of arbitration awards. Either party may seek injunctive relief in any competent court.

10. General Provisions

10.1 Entire Agreement

These terms, together with any applicable service agreement, constitute the entire agreement between the parties.

10.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

10.3 Waiver

Failure to enforce any provision does not constitute a waiver. Waivers must be in writing.

10.4 Assignment

You may not assign rights without our consent. We may assign in connection with a merger or sale of assets.

10.5 Force Majeure

We are not liable for delays caused by circumstances beyond reasonable control.
